The Contracts Analyst is expected to review, comprehend, analyze, and identify issues presented by, a range of commercial contracts, including Statements of Work, Non-Disclosure Agreements and Services Agreements.  This role is also expected to work proactively with internal clients and/or supervising attorneys to revise, draft and negotiate contracts effectively and efficiently.  The Contracts Specialist will have responsibility for a large volume of contracts at any given time, so must be highly organized and able to prioritize projects appropriately.  The individual in this role must be comfortable negotiating with third party service providers and their counsel.  This role requires experience with commercial contract analysis, drafting and negotiation, keen attention to detail, and the ability to exercise good judgment and decision-making, working independently or with attorneys in the Legal Department, as appropriate. 



  • Effectively and efficiently review, comprehend, analyze, identify issues presented by, revise, draft and negotiate a range of commercial contracts in support of TJX IT, marketing, logistics, e-commerce and other business functions
  • Efficiently handle a large volume of contracts at any given time
  • Work proactively with internal clients in an effort to achieve clear contractual terms and an efficient contracting process
  • Coordinate with and make recommendations to internal business clients regarding contract terms and strategy  
  • Assist with updates to standard contract forms and related materials
  •  Conduct legal research, as needed
  •  Assist with special projects, as needed



  • Bachelor's Degree
  • 4 to 6 years of experience in contract review, analysis, drafting and negotiation
  • Excellent written and oral communication skills
  • Highly organized and capable of prioritizing and handling multiple projects simultaneously
  • Keen attention to detail
  • Excellent analytical skills, and the ability to identify and escalate issues appropriately
  • Experience working directly with clients and attorneys in an advisory capacity
  • Experience negotiating commercial contract terms with third parties and their counsel
