Business Unit Overview:

GSO Capital Partners LP is the global credit investment platform of Blackstone. With approximately $128 billion of assets under management, GSO is one of the largest alternative managers in the world focused on the leveraged-finance, or non-investment grade related, marketplace. GSO seeks to generate attractive risk-adjusted returns in its business by investing in a broad array of strategies including mezzanine debt, distressed investing, leveraged loans and other special-situation strategies. Its funds are major providers of credit for small and middle-market companies and they also advance rescue financing to help distressed companies.

The Liquid Credit Strategies Team ("LCS") manages diversified portfolios of fixed income investments, primarily consisting of senior secured floating rate bank loans of non-investment grade companies. The group manages and sub-advises $49 billion of assets under management across over 75 accounts in US and Europe. A majority of the accounts are Collateralized Loan Obligations ("CLOs"), but also include Separately Managed Accounts ("SMAs"), Commingled Funds, Registered Closed End Funds and Sub-Advised ETF. LCS also invests in the debt and equity tranches of CLOs.

Responsibilities:

* Position will be based in New York and will support LCS.
* Assist LCS in structuring, negotiating, documenting and facilitating the issuance, refinancing/reset or redemption of CLOs; documenting investment management agreements for new SMAs and Commingled Funds; reviewing quarterly, semi-annual, and annual public filings of seven listed or registered fund products; assist LCS in negotiating and commenting on investments in externally managed CLOs; assist LCS in structuring, negotiating, documenting and facilitating the capital raising efforts of the private and public risk retention funds.
* Work on corporate projects related to LCS, including private capital formation and public capital raising transactions, operational matters, regulatory matters, investor relations issues, new product launches and new business initiatives.
* Assist in a variety of day-to-day matters faced by in-house legal group related to a growing and global business, including review and negotiation of confidentiality agreements, vendor agreements and miscellaneous contracts.
* Review constitutional documents, corporate materials, corporate resolutions, side letters, engagement letters, placement agency agreements and service agreements.
* Assist in updating and revising investment vehicles' offering materials and investment management agreements.
* Assist in the review of marketing materials, investor communications, press releases and responses to investor inquiries.
* Assist in the updating and maintenance of the firm's policies and procedures, corporate governance documents and files and research/regulatory library and filings.
* Support various business groups, including LCS investment, LCS investor relations and client service, global fund accounting, operational, risk, technology and middle office departments.
* Desire to work as part of a collaborative team and willingness to embrace a variety of issues.

Qualifications

GSO is seeking an attorney with 3-4 years' experience in leverage finance or structured finance to join a legal team doing challenging work in an extremely fast-paced environment. The attorney would be a part of a highly collaborative legal and compliance group and would interact closely with the firm's portfolio management teams. Ability to be proactive in new situations, and to manage projects and third parties, including outside counsel, is important.
