Operations Analyst

Associate (King & Spalding LLP) (Los Angeles, CA): Provide strategic advice to public & private companies, PE firms and finance institutions on a variety of US and cross-border corp matters, including M&A, divestitures, auctions, investments and joint ventures. Requires JD, LLM., or foreign equivalent and License to practical law in a US jurisdiction+ minimum of 4 years progressive responsible transactional experience with a large law firm representing internal businesses in corp or M&A matters. Experience must include: Control review, negotiating and drafting complex transaction documents. Representing companies, buyers, & sellers in domestic & cross-border strategic M&A & public/private transactions, including investments, M&A, consortium and joint ventures. Overseeing and/or managing work of firm specialists, foreign/outside counsel, and jr associates. Conducting extensive due diligence on target companies, analyzing findings, and providing comprehensive reports to clients. Conducting corp reorg/restruck in antic of or after a transaction. PE&VC transactions. In-depth knowledge of corp law, sec regs, contr law, and rel legal frameworks governing M&A transactions. Telecommuting Permitted, Domestic Travel required.
