Attorney 3 - Corporate Mergers and Acquisitions-W440814

Description

SunTrust seeks an attorney to join its Legal Department as its lead attorney to support the company's mergers and acquisitions activity enterprise-wide. The position will also support segments of the M&A advisory business of SunTrust's investment banking subsidiary, SunTrust Robinson Humphrey, Inc., as well as handle internal reorganizations and general corporate work for various SunTrust subsidiaries. The position is based in SunTrust's Atlanta headquarters.

The successful candidate will be responsible for overall legal support with respect to SunTrust's strategic M&A and related transactions, including acquisitions, divestitures, joint ventures and equity investments, from pipeline and planning stages through and including deal negotiation and execution. Activities will include due diligence investigations and preparation and negotiation of confidentiality agreements, term sheets, letters of intent and definitive transaction agreements. The position will also involve creating and managing deal teams with other SunTrust in-house attorneys and constituents and outside advisors (including active management of outside counsel) on large, complex transactions. The position will also be responsible for corporate aspects of internal reorganizations and providing general corporate work for various SunTrust subsidiaries. The role may also involve assistance with SunTrust debt issuances and securities compliance work.

The position will also support certain industry verticals within the M&A advisory business of SunTrust Robinson Humphrey, Inc. This support will include drafting and negotiating engagement letters, advising with respect to conflicts of interest, updating legal agreement forms, keeping the business apprised of relevant legal developments and providing legal support in connection with the issuance of fairness opinions, including drafting and negotiating opinion letters, reviewing board materials and preparing proxy disclosures with respect to fairness opinions.

Qualifications

Experience and skills for the role include the following:
- JD from an accredited law school, excellent academic credentials and current member in good standing with Georgia or other state bar
- A minimum of 4-6 years legal M&A experience in large law firm environment or corporate legal department
- Securities law experience considered helpful
- Well-organized self-starter able to handle multiple projects simultaneously and meet deadlines
- Capable of working independently with little supervision
- Strong analytical skills and ability to balance business needs with legal risks
- Ability to effectively communicate ideas and strategies with senior executives
- Excellent verbal and written communication skills with particular emphasis on contract drafting abilities
- Strong negotiation skills
