Job Description

Current Need

Seeking a full-time legal specialist with a broad range of experience and/or well-demonstrated interest in corporate law and M&A transactions to join McKesson's Subsidiary Governance Team, which is part of the General Counsel Organization's dynamic and highly-skilled Corporate Governance and Transactions Group. Recent graduates of ABA-approved law schools preferred, but high performing corporate paralegals with required experience at a major law firm or publicly-traded multi-national enterprise will be considered.

Position Description

* Perform all tasks required for accurate, timely and effective legal entity management
* Draft board and stockholder resolutions, meeting minutes, officer certificates, bylaws, operating agreements, partnership agreements, joint venture agreements, formation documents and other corporate governance documents in compliance with applicable law
* Prepare and execute various state filings (e.g., certificates of incorporation, formation, foreign qualification, merger, conversion, dissolution and withdrawal and name changes)
* Coordinate/assist with international subsidiary board meetings, preparing board packs and interacting with senior business leaders on related matters
* Maintain accurate corporate books and records using McKesson's global entity management system (GEMS™-), BoardVantage and Microsoft Office 365 resources
* Assist with vendor billing and management
* Generate subsidiary charts, affiliate lists and other reports for internal and third parties
* Support timely execution of subsidiary audit program and legal entity rationalization efforts
* Promote the reputation and integrity of McKesson's General Counsel Organization
* Other responsibilities and tasks to be assigned, as needed.

Minimum Requirements

Recent J.D. graduate of ABA-approved law school with well-demonstrated interest in corporate law and M&A as a junior to mid-level law firm associate or intern and/or through successful completion of relevant coursework. Corporate paralegals must own at least 4 years of experience at a major law firm and/or a publicly-traded multi-national enterprise supporting a robust corporate practice and/or M&A transactions, a bachelor's degree from an accredited university and a paralegal certificate from an ABA-approved paralegal program. The successful candidate must own a strong, pro-active work ethic, un-tempered intellectual curiosity and the ability to work effectively independently and with a team.

Critical Skills

* Working knowledge of basic corporate law and corporate governance principles (e.g., under Delaware law)
* Cost-effective legal research skills using print, Westlaw/LexisNexis® and other sources efficiently
* Effective project management skills involving domestic and international subsidiaries, stakeholders and local counsel and advisors located in various time zones
* Sound professional judgment, logic and reasoning
* Keen attention to detail and penchant for accuracy, timeliness and organization
* Superior problem-solving skills, proactive and hard working
* Strong verbal and written communication skills
* Proficient in Microsoft Office 365® (including Outlook, Word, Excel, PowerPoint and OneDrive), GEMS™-, Westlaw/LexisNexis® research tools and/or similar software programs
* Highly responsive to internal and external stakeholders
* Efficient prioritization and management of multiple competing priorities

Education

J.D. earned from a top ranked ABA-approved law school with academic or other exposure to corporate law and/or M&A. Paralegal candidates must have earned a bachelor's degree from an accredited university and a paralegal certificate from an ABA-approved paralegal program.
