 Position supports all aspects of MPC and MPLX corporate governance, including MPC and MPLX Board meeting preparation and execution as well as corporate governance legal and regulatory compliance.  As such, candidate should be able to demonstrate a working knowledge of public company securities, exchange and governance requirements.  Candidate would be charged with maintaining MPC and MPLX governance documents, drafting supporting materials for MPC and MPLX Board and committee meetings, drafting meeting minutes, serving as an administrator of the MPC and MPLX Board portal system, BoardVantage, and the D&O Questionnaire system, Q-Diligence and serving as the primary organizer of the MPC annual meeting of shareholders.

1. Serves on support team for MPC and MPLX Board and committee meetings.  Board meeting team includes Security, Medical Services, Facilities, and others.  On-site meeting responsibilities include comprehensive Board support, including addressing Board member and Executive Officer requests, accounting for materials presented to the Boards and documenting attendance in meetings to ensure accuracy of Board minutes and records.   

2. This position requires flexibility and a willingness to work extended days and week-ends throughout the year (particularly Friday nights and Saturdays) during the time that Board materials are prepared and meetings are held due to the timing and location of MPC and MPLX Board meetings. Must be available to travel as necessary for Board meetings or site visits for off-site Board meetings. Works with Conference Services to make recommendations to senior management regarding meeting facilities and accommodations.

3. Drafts MPC and MPLX Board and committee minutes and confers with Vice President, Corporate Secretary and Chief Compliance Officer on approval of final minutes.  

4.  Has primary responsibility for quarterly administration of certain SOX controls relating to corporate governance.

5. Works closely with Corporate & Finance attorneys, Tax, and Compensation organization to maintain information required to comply with SEC and NYSE regulations regarding Directors and Officers.

6. Searches official books and records of MPC and MPLX Board proceedings to respond to queries from Internal Audit and independent auditors as they seek confirm various approvals of matters brought before the MPC and MPLX Boards of Directors.

7. Available to respond to Director and Executive Officer requests on a 24/7 basis.
