Job Description

IFF's growing Legal department is excited to offer a great new opportunity on its team for Law Clerk based at IFF headquarters in New York City.

Responsibilities include:

* Drafting and negotiating contracts under attorney supervision, such as non-disclosure agreements, memorandums of understanding, statements of work, vendor and customer agreements.
* Managing the contract lifecycle, such as needed revisions, extensions & terminations.
* Managing record keeping for contract-related correspondence and documentation.
* Obtaining and properly disseminating or filing contract-related deliverables such as insurance certificates.
* Coordinating signatures and ensuring final documentation is properly entered into Concord and other contract databases and securely maintained.
* Assisting to continuously improve standard form agreements and internal processes.
* Assisting to develop and deliver training and manage contract compliance.
* Maintaining deadlines on deliverables and communicating on an ongoing basis with business partners and internal clients about relevant matters.
* Updating corporate guidelines, policies and playbooks as requested.
* Drafting corporate documents under attorney supervision such as minutes, resolutions, incumbency certificates and corporate certificates.
* Monitoring new and developing corporate governance trends and best practices.
* Developing and delivering training and risk management initiatives to assist in managing risk (e.g. business training, legal updates, contract compliance etc.).
* Monitoring and responding to subpoenas and requests for information from third parties and regulators.
* Managing the legal hold process for US potential litigation including use of ZApproved (litigation hold software).
* Supporting special projects, as assigned.

Required Experience

Essential Skills and Experience:

* BA/BS degree or equivalent practical experience.
* J.D. (recent graduates interested in gaining corporate law department are encouraged to apply)
* Experience as a paralegal preferred
* Experience working in, and the ability to thrive, in a fast-paced environment.
* Ability to multitask, prioritize competing interests and manage a high volume of requests.
* Responsive to attorneys and business people.
* Must be a team player and able to roll up your sleeves and lend a hand where needed.
* The organizational skills, judgment, and drive needed to balance projects both complex and mundane with multiple stakeholders under tight deadlines.
* Deep drive to remove process barriers, keep projects on time, and doing whatever it takes to complete the task at hand.
* Excellent communicator with great interpersonal and presentation skills.
* Strong MS Outlook, Excel and spreadsheet software, Word, PPT, and Acrobat skills.
* Experience with Serengeti/Legal Tracker, SAP, ZApproved, Ariba or similar tools a plus.
