Job Description

Position Summary:

The attorney in this role will have primary responsibility for providing legal and compliance support to Hudson's Global Markets Group ("HGMG"), which provides currency, interest rate and commodity hedging services to clients. The attorney in this role will be supported by a legal assistant and will assist HGMG with market risk management, derivatives trading, derivative documentation and regulatory compliance. The attorney in this position will work closely with the Managing Director, Global Head - Global Markets of Hudson; the General Counsel of Hudson; the Chief Compliance Officer of Hudson and the Chief Compliance Officer of Lone Star.

HGMG has over 17 years of experience and has executed over $1.1 trillion gross notional in derivative transactions across FX, interest rate and commodity markets. Hudson is registered with the Commodity Futures Trading Commission ("CFTC") as a commodity trading adviser and is a member of the National Futures Association ("NFA").

Essential Functions:

* Assist HGMG and certain of its clients in negotiating derivative documentation, including ISDAs, long-form confirmations and trade confirmations.
* Assist HGMG and certain of its clients in negotiating derivative-related terms in credit facility agreements.
* Lead Hudson's derivative regulatory compliance efforts, including with respect to Hudson's registration with the CFTC as a commodity trading adviser and its NFA membership.
* Provide assistance with respect to the derivative regulatory compliance efforts of certain of Hudson's clients.
* Monitor and communicate developing derivative-related regulations and their application to Hudson and its clients.
* Assist HGMG in identifying for its clients which derivative regulatory regimes apply to proposed trades and evaluating the expected impact of those regulatory regimes.
* Assist HGMG in reviewing, negotiating and completing regulatory protocols or bilateral regulatory agreements for its clients.
* Draft and negotiate HGMG's services agreements with clients.
* With the support of a legal assistant, assist HGMG with know-your-customer requests and related documentation for its clients.
* Perform and assist with global legal projects as assigned.

Required Knowledge, Skills and Abilities:

* Experience with CFTC regulations and NFA rules.
* Experience drafting and negotiating derivative-related documentation.
* High capacity for strategic thought and the ability to solve complex legal and business problems.
* Excellent verbal and written communication skills and the ability to interact professionally with a diverse group of executives, managers, and subject matter experts.
* Solid quantitative and qualitative analysis skills.

Education:

* Undergraduate degree and Juris Doctor.

Experience:

* Minimum of 5-6 years of work experience practicing general corporate law with a well-known private law firm or in-house legal department. Experience with CFTC regulations is required; experience in private equity is preferred.

Other Skills:

* Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint).
* Proficiency in Adobe Acrobat.

Work Environment:

* This job operates in a professional office environment.
* Legal and Compliance team members are expected to generally arrive between 8 AM - 9 AM and leave between 5 PM - 6 PM, but hours will vary depending on business activity and may be significantly longer.

Travel Requirements:

* This position is not expected to require regular travel. However, travel may occasionally be required on a limited basis based on departmental needs.
