Manager, Mergers & Acquisitions

Based in Montreal's downtown Corporate Office, you will report to the Vice President, Mergers & Acquisitions (M&A).

As a member of a highly skilled and active M&A group, the responsibilities will include leading, coordinating and executing M&A mandates defined by the Vice President, Mergers & Acquisitions. Transactions include a wide range of strategic activities, including but not limited to acquisitions, divestitures, joint ventures, partnerships, investments and other strategic or financial transactions.

M&A activities consist of leading transactions from initial feasibility assessment through to transaction close and involves managing multi-disciplinary teams of internal and external experts across various geographies.

As a member of the M&A team, you will partake in the development of the team and the continuous improvement of the M&A function.

The role involves significant exposure and visibility to senior management and provides an opportunity for rapid career progression.

As a Manager, Mergers & Acquisitions, you will perform the following activities:

- Initiation of M&A projects including project planning, staffing, and budgeting
- Developing M&A project business cases and providing recommendations in relation to transaction feasibility and the parameters under which deals should be pursued
- Conducting business valuations and advising on means to maximise value to Bombardier, including building and reviewing of complex financial models and ensuring compliance with financial modelling and valuation best practices
- Financial, commercial and contractual structuring to ensure deal deliverability, meeting of Bombardier's objectives and optimal allocation of risks
- Assessing the requirements for business carve-outs and integrations, including financial, contractual and operational aspects and manage transaction teams towards successful execution of carve-outs and integrations
- Drafting of transaction marketing documentation (Teasers, Information Memorandums etc.). Participating in initial marketing to potential investors. Partaking in drafting sessions and management rehearsals for investor presentations
- Managing financial, legal, tax, commercial and operational teams in conducting due diligence activities, including the management of external resources where applicable. Confirm the quality and completeness of due diligence findings through appropriate review and sign-off procedures. Ensure appropriate identification and communication of transaction risks and advise on appropriate risk mitigation actions
- Participating in drafting and negotiation of transaction documentation including Memorandums of Understanding, Letters of Intent, Share Purchase Agreements, Asset Purchase Agreements, Shareholder Agreements, in particular, the commercial and financial provisions of the agreements
- Proactively and regularly seeking input, advice and direction from more senior members of the M&A team. Ensuring deliverables are subject to appropriate levels of review and sign-off
- Participating in the continuous improvement of the M&A processes and of tools used for transaction execution and reporting to executive management. These includes valuation models, comparable transaction and company / industry sets, business case templates and project management tools
- Collecting market intelligence through ongoing research of industry news, publications and analyst reports and participating in earning calls for major competitors and targets
- Participating in upskilling the members of the M&A team, through on-the-job coaching and sharing of knowledge, experiences, and best practices
- Inspiring a culture of collaboration, openness, transparency, inclusiveness and results


As our ideal candidate,
- You have a minimum of 5 years of relevant M&A experience in an investment bank, a transaction advisory practice or the corporate development / M&A department of a corporation;
- You have an undergraduate degree in Finance, Engineering, Commerce or any other relevant specialisation ;
- A professional designation such as CA, CFA or an MBA or any other relevant designation is a plus;
- You have a solid experience in a deal environment including valuation analysis, deal structuring, due diligence, negotiations and closing of transactions; preferably in an industrial context;
- You have strong quantitative and analytical skills;
- You have strong project management skills;
- You have the ability to deliver on multiple projects in parallel;
- You have strong financial modelling capabilities with a high degree of detail;
- You have excellent business acumen and ability to influence;
- You are able to work within short deadlines and under pressure;
- You have excellent spoken and written communication skills in both French and English;
- You are flexible in your schedule and available to travel up to 20% of your time;
- You have excellent knowledge of MS Office applications (Word, Excel and PowerPoint);
- Knowledge of Bloomberg, CapitalIQ and FactSet would be an asset.
