Legal Advisor (m/f)-TRCS-ITRO01396720

Bombardier Transportation is one of the most important manufacturers of rolling stock in Italy and is involved in some of the country's most important rail projects; Trenitalia's various types of electric locomotives- including the E464 which is the largest single line in the Trenitalia fleet (more than 700 vehicles). The group employs some 800 people in Italy. 600 people are located in Vado Ligure, the plant set up in 1905 where close to 2,000 locomotives have been manufactured to date. 200 people work at its engineering centre in Rome, dedicated to the development of rail control solutions, signaling equipment and rail traffic management systems.

For our site in Rome, we are currently looking to recruit a Legal Advisor


The Legal Advisor RCS is responsible for legal matters of bid activities and projects in execution. The scope of work furthermore comprises corporate affairs of entities in his/her Division as well as other legal affairs and compliance matters. The focus of this job is the provision of legal advice to his/her Division, the negotiation with third parties (incl. drafting of legal documents) and compliance with BT policies (incl. the obtaining of mandates) that relate to legal aspects of the business. The Legal Advisor will handle bids and projects with a large size and with a substantial degree of complexity (incl. strategic bids & projects, difficult terms & conditions).


- Support to Bids:

From pre-bid stage until contract signature, provide legal advice to his/her Region/Division and identify issues; analyse and advise on bidding strategy & set-up; responsibility for bidding agreements (incl. drafting, analysis and negotiation of memorandum of understanding and sales representative agreements) and responsibility for teaming agreements (consortium/partnership agreement, shareholders' agreement) and key sub-supplier agreements; coordination of inter-regional/divisional agreements.

Analysis and negotiation of the contracts and responsible for public procurement law review procedures (defensive & offensive).

Drafting, analysis and negotiation of other required agreements for financing, software licensing, intellectual property rights.

- Support to Projects:

in close cooperation with Project Commercial Managament, execution throughout the life of a project, assisting various departments regarding contractual and legal issues, managing project related litigation.

Support and provide guidance to Procurement concerning the placement of all major Purchase Contracts to ensure back-to-back coverage with customer contract is achieved or proper mitigation actions are put in place for any remaining gaps.

- Corporate Affairs:

For the Legal entities under the responsibility of his Division/Region, support all quarterly/yearly required corporate activities are completed and reported internally in GEMS and / or externally as the case may be (shareholder's meetings, supervisory board meetings, etc.) He/she supports legal affairs for the location(s) and the legal entities, e.g. in the area of property, plant and equipment, rental and lease contracts, environmental matters, legal proceedings or project specific insurance matters, etc.

- Governance:

Support to ensure that the Contracts & Legal Affairs function fulfils its responsibilities in the applicable Policies and Directives, in lead or in support, as the case may be. Provide compliance training to other functions in the Region/Division (incl. corporate law, anti-trust law, anti-corruption law, claims management, etc.).

- Legal Matters:

Manage engagement of external legal consultants. Responsible for knowledge management and development of tools within his/her Region/Division. Responsibility for related and non-project related litigation (incl. court proceedings and alternative dispute resolution)


- Bachelor Degree in Law, preferably with a focus on contract or business law
- Additional qualifications would be an asset
- At least 3 years of experience in a large multinational context, in similar project based business areas (e.g. rail, construction, oil & gas, technology, energy)
- Experience in working with international teams and/or on international projects
- Knowledge of Italian Public Procurement Law
- Excellent negotiation skills
- Ability to work autonomously, as well as part of a team
- Very good English and Italian language skills
