Corporate Paralegal

Location: San Rafael, CA - United States

Position Overview

Autodesk is looking for a motivated and flexible Paralegal to join our Corporate Legal team. This individual will work independently but closely with counsel and other professionals to support the corporate team. Responsibilities will include coordinating subsidiary compliance and governance in the Americas (U.S. and foreign) as well as assisting with Autodesk, Inc. board of director and committee meeting coordination, insider trading program maintenance and SEC disclosures.

Responsibilities

* Perform corporate legal duties including the formation, maintenance, dissolution and acquisition of domestic subsidiaries, including drafting, maintaining governance documentation and powers of attorney
* Manage activities for subsidiaries within the Americas, including preparation and filing of regulatory filings, state annual reports and other corporate filings
* Provide support and guidance to the directors and officers of subsidiaries on governance issues
* Manage and provide oversight and support in the records and data integrity of all information pertaining to international and domestic subsidiaries, in coordination with Autodesk's international legal team and outside counsel,
* Provide support in developing and implementing corporate governance guidelines and subsidiary governance processes for subsidiaries within the Americas
* Manage development of corporate transactions database to track historical acquisition information and deal terms
* Initiate executive signature requests for a domestic subsidiary documents and filings
* Maintain worldwide corporate structure charts and global subsidiary lists
* Assist with coordination of Autodesk, Inc. quarterly and special board and committee meetings from beginning to end, including scheduling, preparation of agendas, managing board book preparation processes and posting materials, as well as attending to a multitude of meeting logistics
* Assist with maintenance of board portal documentation and access
* Assist with monitoring and updates to the Insider Trading Program, including blackout list maintenance and notifications
* Assist in the preparation and filing of annual and quarterly SEC disclosure documents, proxy statements and Section 16 filings
* Design, recommend, and implement new processes and procedures to increase group efficiency and productivity.
* Special Project Support
* Develop and maintain process and procedure documentation.
* For any project where a paralegal skill set would be needed. Research, organization.
* Back up coverage for Admins, Paralegals and Contract Specialists.

Minimum Qualifications

* BA/BS degree required
* At least five years corporate paralegal experience in a large law firm, in-house legal department or a combination of both
* Excellent analytical skills, well-organized and detail-oriented. Must be able to manage numerous projects simultaneously under deadline pressure
* Flexibility and willingness to work on a variety of legal matters
* Strong written and oral communication skills
* Excellent computer skills, including Microsoft Office applications
* California Notary Public current certification preferred; will be required within three months of hire
* Ability to interact comfortably with executives and senior management
* Exceptional interpersonal skills, highly team-oriented and a commitment to professionalism required
